The Dynamic Relationship between
the Board and the CEO
There is no relationship that is more important to the performance and effective governance of a business than the one between the Board of Directors and the Chief Executive Officer. This program will focus on what a Board wants and can reasonably expect from its CEO and what a CEO wants and can reasonably expect from his or her Board. Our speakers, Lynn Elsenhans, the Chairman and CEO of Sunoco, Inc., and Walter D’Alessio, the Lead Director of Exelon Corporation and the former Chairman and CEO of Legg Mason Real Estate Services, will share an inside look at this topic from their extensive executive and Board experience.

Lynn L. Elsenhans, Chairman and Chief Executive Officer, Sunoco, Inc. and Sunoco Logistics Partners LP
Ms. Elsenhans joined Sunoco in August 2008. A veteran oil industry executive with domestic and international experience in manufacturing, marketing, and planning, Ms. Elsenhans joined Sunoco after 28 years with Royal Dutch Shell. Her last assignment with Shell was as executive vice president, global manufacturing. From 2003 to 2005, Ms. Elsenhans served concurrently as president of Shell Oil Company and president and chief executive officer of Shell Oil Products US. Ms. Elsenhans is on the board of directors of International Paper Company and the Texas Medical Center. She serves on the Council of Overseers for the Jones Graduate School of Business at Rice University. Ms. Elsenhans graduated from Rice with a Bachelor of Arts in Mathematical Science in 1978 and earned a Masters of Business Administration from Harvard Business School in 1980.
Walter D’Alessio, Vice Chairman, NorthMarq Capital, and Lead Director, Exelon Corporation
Mr. D’Alessio joined NorthMarq Capital in September 2003 when NorthMarq acquired the mortgage banking division of Legg Mason Real Estate Services (LMRES) where he was employed since 1982. Mr. D’Alessio is currently President of NorthMarq’s real estate consulting group, NorthMarq Corporate Solutions, and a member of NorthMarq’s Board of Directors. Mr. D’Alessio also serves as Lead Director on the Board of Exelon Corporation. At LMRES, Mr. D’Alessio was Chairman and CEO and chaired the LMRES Executive Management and Executive Staff Committees. Mr. D’Alessio has over forty five years experience in planning, developing, financing, and managing major real estate projects in Philadelphia, including 12 years as Executive Director of the Philadelphia Redevelopment Authority, and 10 years as the Executive Vice President of the Philadelphia Industrial Development Corporation. Mr. D’Alessio holds a B.S. degree in Landscape Architecture from Pennsylvania State University and an M.S. in City Planning from the University of Illinois.
